ThriveByWeb LLC (together with its officers, directors, employees, agents, subsidiaries, and affiliates, “ThriveByWeb”) reserves the right to update and change the Terms of Service by posting updates and changes to this page on the ThriveByWeb website. Your continued use of the website following the amendment confirms your consent to the amendment. Any new features that augment or enhance the current service, including the release of new tools and resources, are subject to these terms. Website & Subscription Service

When signing up and subscribing to the services provided by ThriveByWeb, you are agreeing to the following conditions:

User Registration: You must provide accurate and complete information, including your legal full name, a valid email address, and any other requested information, to complete the sign-up process.

Onboarding: You must complete the ThriveByWeb Onboarding Questionnaire before we commence work on your logo and website. If this questionnaire is not completed within ten days of signing up, your subscription will be cancelled, and your setup fee will be refunded.

Intellectual Property: The use of ThriveByWeb images and/or content on non-ThriveByWeb websites is strictly prohibited. Violators will be requested to cease and desist and we may pursue legal action, including requesting web hosts to remove offending websites containing the protected material.

Content Verification: We do not verify the accuracy of content posted on your website. Any agreements you make with others through the website are strictly between you and the third party. We are not responsible or liable for any claim, loss, or damage, of any kind related to your use of the website.

Acceptable Use: You promise and warrant that you will not use our platform to gather or extract data or content; post or send anything false, fraudulent, misleading, unlawful, threatening, abusive, libelous, defamatory, or sexually explicit; post anything that does not belong to you or that you do not have the legal right to post; send unsolicited advertisements (SPAM); or reproduce, duplicate, copy, sell, resell or exploit any portion of the ThriveByWeb platform.

Privacy and Data Use: We may collect and use information you provide to us. This may be shared if required by law or to enforce these terms.

Risk Acknowledgement: You acknowledge that you are subscribing to the ThriveByWeb platform at your own risk. The platform is provided without warranties of any kind. All express, implied, and statutory warranties are expressly disclaimed to the fullest extent permitted by law.

Limitation of Liability: We are not liable for any direct, indirect, incidental, special, consequential, or exemplary damages due to your use of the ThriveByWeb platform.

SEO Service Terms

At ThriveByWeb, we strive to improve your online visibility through our Search Engine Optimization (SEO) services. However, it’s important to understand that the nature of SEO involves certain risks and uncertainties. Here are our terms pertaining to our SEO services:

Inherent Risks: You acknowledge that SEO involves certain risks due to factors beyond our control, such as search engine algorithm changes and previous SEO work done on your site.

No Guarantee of Results: While we work diligently to improve your website’s ranking, we cannot guarantee specific results or improvements due to the unpredictable and ever-changing nature of SEO.

Potential Impact of Google Updates: Google and other search engines frequently update their search algorithms, which may positively or negatively impact your site’s ranking. We are not responsible for any changes in your site’s ranking due to these updates.

Limited Insight into Google’s Ranking Factors: Google does not publicly disclose all of its 200+ search engine ranking factors. While we follow industry best practices and utilize our knowledge and experience in SEO, we cannot guarantee your site’s ranking due to this lack of complete transparency.

Potential Exclusion from Search Index: You understand that there’s a small risk that search engines may not include your website in their search index, resulting in no improvement in your site’s ranking or visibility.

No Warranty: Our SEO services are provided on an “as-is” basis, without warranties of any kind, either express or implied. This includes warranties of merchantability, fitness for a particular purpose, infringement, or arising from a course of performance or dealing.

Payment, Subscription, and Refund Terms

The use of our services at ThriveByWeb involves the following payment, subscription, and refund conditions:
Payment Method: A valid credit card is required for signing up for our services. Upon signing up, you will be charged a setup fee. The first monthly subscription fee will be billed on the day after your new website goes live.

Monthly Billing: Following the first month, all subsequent subscription fees are due in advance on a monthly basis. We reserve the right to cancel your subscription and deactivate your website if your credit card is declined and not updated within 10 days.

Overdue Invoices: If an invoice is overdue, we will continue to automatically attempt to process payment for 30 days.

Billing Issues: We will attempt to communicate with you if your subscription is experiencing any billing issues through various means, including, but not limited to, email and phone calls.

Refunds: If you decide to cancel your subscription within seven days of signing up, you will be refunded your setup fee. If the cancellation occurs after seven days of signing up, the setup fee will not be refunded.

Add-Ons: If there are any additions or removals of add-ons to your subscription, your credit card will be automatically charged the new amount and/or rate on your next billing cycle.

Taxes: All fees quoted are exclusive of taxes, which will be charged as applicable. You agree to pay any taxes applicable to your use of our services.

Cancellation and Termination

At ThriveByWeb, we understand that circumstances change and you may need to terminate your subscription. To ensure clarity, we’ve detailed our cancellation and termination process as follows:
Cancellation Request: To cancel your subscription, please send a written request to hello@thrivebyweb.com. Upon receipt of your request, we will promptly stop any further billing of your monthly subscription. We may also reach out to you to understand your reasons for leaving and to see if there’s anything we can do to improve our services.

Effective Date of Cancellation: Your cancellation becomes effective one business day after you have confirmed your cancellation with our support team. Your website will be deactivated within one business day of confirming your cancellation.

Charges After Cancellation: After the date of cancellation, future monthly subscription fees will not be charged. However, please note that there are no refunds for monthly subscription fees already made.

Loss of Assets: Once your subscription is canceled, all your website assets, including images and content, will automatically be deleted from our Service. This data cannot be recovered after your subscription has been canceled.

Chargebacks: If for any reason you initiate a chargeback with your credit card company claiming that you canceled your subscription when you did not formally request to cancel, you agree to compensate us fully for any costs we incur as a result of your actions. This may include chargeback fees and attorney fees.
